Please read these Terms of Use carefully before using the Zolan Platform. By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. About Zolan and These Terms
Zolan Global Technologies Limited (“Zolan”, “we”, “us”, or “our”) is incorporated under the laws of the Federal Republic of Nigeria and operates a digital cross-border payments and financial services platform (the “Platform”) at usezolan.com, together with any associated apps, APIs, or channels (the “Services”).
These Terms of Use (“Terms”) are a legally binding agreement between you (“User”, “you”) and Zolan governing your use of the Platform. They apply to all users, including Micro, Small, and Medium Enterprises (“MSMEs”), business owners, and authorised representatives. Where you act on behalf of a business entity, that entity is the contracting party and both it and you are bound; if you lack authority to bind it, you must not use the Services on its behalf.
Zolan provides its Services in partnership with duly licensed financial institutions, payment service providers, and Virtual Asset Service Providers (“Licensed Partners”). Certain regulated services, including payment processing, currency conversion, fund transmission, and stablecoin custody, are provided by or through these Licensed Partners, and by using the Services you accept this arrangement.
2. Eligibility
To access the Services, you must:
- Be at least 18 years old and have legal capacity to enter a binding contract;
- Be duly incorporated, registered, or otherwise lawfully constituted (for a business entity);
- Not be located in, incorporated in, or operating from a jurisdiction subject to applicable sanctions or embargoes (including those of Nigeria, the UN, EU, US/OFAC, and UK/HMT), and not be a person or entity on any applicable sanctions list or watchlist;
- Not be a Politically Exposed Person (PEP) without prior disclosure and completion of Zolan's enhanced due diligence; and
- Comply with all laws applicable to your use of cross-border payment, virtual asset, and foreign exchange services in your jurisdiction.
Business users. Where you act for a business entity, you represent that you are authorised to bind it, that it is duly registered, and that all information you provide is true, accurate, current, and complete, and you undertake to keep it updated.
3. Registration and KYB / AML Obligations
Registration. You must create an account and provide the personal and business information we or our Licensed Partners reasonably require for compliance, including business and registration details, registered address, nature of business, tax identification, beneficial owners and authorised signatories, and expected transaction volumes and corridors.
AML/CFT compliance. Zolan is committed to compliance with applicable anti-money laundering (AML), counter-financing of terrorism (CFT), counter-proliferation financing (CPF), and KYC/KYB obligations. You agree to:
- Provide all information and documentation required for identity verification, business verification, and ongoing due diligence;
- Consent to Zolan and its Licensed Partners conducting background, sanctions, PEP, adverse-media, and blockchain wallet screening as required by law;
- Promptly notify us of any material change to your business structure, beneficial ownership, or signatories; and
- Cooperate with any enhanced due diligence arising from your risk profile or regulatory requirements.
Zolan may suspend, restrict, or terminate your access if you fail to satisfy KYB/KYC requirements or if we have reasonable grounds to believe your account is being used unlawfully.
3.1 Tiered Verification
We operate a risk-based, tiered KYB framework. Your account is subject to transaction limits based on your tier and risk classification. Higher limits may require enhanced due diligence, such as source-of-funds documentation, trade documentation, supplier verification, and virtual or on-site business verification. We will notify you of applicable limits and the steps to increase them.
3.2 Account Security
You are responsible for keeping your credentials confidential and for all activity under your account. You must enable multi-factor authentication where offered and immediately notify us of any unauthorised use at support@usezolan.com. Zolan is not liable for loss arising from your failure to meet this obligation, except to the extent caused by Zolan's own negligence.
4. Description of Services
Subject to these Terms and applicable law, Zolan provides:
- Cross-border payments: payment processing and remittance facilitation across African corridors and international markets; foreign exchange conversion (subject to CBN FX regulations and Licensed Partner terms); transaction initiation, tracking, and reporting; and trade-payment documentation support.
- Stablecoin wallets: dedicated USDT/USDC wallets for receiving international payments; stablecoin-to-fiat conversion and withdrawal to your linked bank account; custody provided by or through a Licensed VASP Partner; and on-chain receiving across supported networks (including Ethereum and TRON).
- CNY supplier payments: direct payment facilitation to Chinese suppliers in CNY for African MSME importers; supplier verification and routing through our Licensed Partner network; and trade documentation and compliance support for the Africa-China corridor.
- Multi-currency wallets: dedicated USD and EUR wallets for receiving international payments, with conversion and withdrawal to local bank accounts in supported markets.
Service availability varies by jurisdiction, corridor, and Licensed Partner arrangements. Zolan does not guarantee that any Service is available in any specific country or corridor and may add services subject to regulatory approvals.
Important: regulatory structure. Zolan is a technology platform operator. Regulated financial services, including payment processing, currency conversion, fund transmission, and stablecoin custody, are provided through or in partnership with Licensed Partners holding the applicable licences. Your contractual relationship for regulated services is with the applicable Licensed Partner, whose terms apply alongside these Terms and which we make available to you. Where a Licensed VASP Partner provides custody, that partner is the custodian of your digital assets; we will identify the relevant custodian to you at onboarding and at usezolan.com/regulatory-status.
5. Stablecoin and Virtual Asset Terms
By using our stablecoin services you acknowledge and agree to the following.
5.1 Nature of stablecoins. USDT (Tether) and USDC (USD Coin) are digital assets issued by third parties (Tether Limited and Circle, respectively). Zolan does not issue, guarantee, or underwrite them, and makes no representation about their stability, backing, or redeemability. Their value depends on their issuers’ reserves and operations.
5.2 Custody. Stablecoin balances in your Zolan wallet are custodied by our Licensed VASP Partner(s), who hold the underlying assets; Zolan acts as the interface and service provider. We will identify the custodian to you (Section 4). On the custodian’s insolvency or regulatory action, your recourse is against that partner under applicable law and its terms.
5.3 Blockchain network risks. Stablecoin transactions occur on public networks (including Ethereum and TRON) outside Zolan’s control. You acknowledge that: confirmed on-chain transactions are irreversible and cannot be reversed by Zolan; network congestion may delay confirmation; you are solely responsible for giving payers the correct wallet address and network, and sending to a wrong address or unsupported network may cause permanent loss for which Zolan is not liable; and networks may fork, upgrade, or experience disruptions.
5.4 Wallet screening and deposit holds. All inbound stablecoin deposits are subject to automated blockchain analytics screening before crediting, assessing the sending wallet’s exposure to sanctioned entities, darknet markets, mixers, ransomware, fraud, and stolen funds. High-risk deposits may be held for manual review. You acknowledge that holds are a regulatory requirement (not discretionary), may last from hours to several business days, may require information from you to resolve, and that Zolan is not liable for loss or opportunity cost arising from a good-faith compliance hold.
5.5 Travel Rule. In jurisdictions implementing FATF Recommendation 16 (including South Africa and Kenya), Zolan must collect, transmit, and receive originator and beneficiary information for your transactions. Failure to provide required information may delay or block transactions.
5.6 TRON enhanced scrutiny. Zolan applies enhanced scrutiny to deposits received via the TRON network due to the elevated prevalence of illicit activity reported on it by blockchain analytics providers. TRON deposits may face longer holds and more detailed review.
6. CNY Supplier Payment Terms
6.1 Trade documentation. Each CNY payment request must be supported by trade documentation, at minimum a pro forma or commercial invoice from the supplier and evidence of the business relationship. For payments exceeding USD5,000, a Bill of Lading, customs declaration, or equivalent shipping document is also required, plus any additional documentation we reasonably request. We may reject or delay any request where documentation is missing, incomplete, or fails compliance review.
6.2 Supplier verification. You must declare all suppliers you intend to pay. New suppliers are verified before the first payment (typically 2–5 business days), including confirmation of business registration (营业执照), bank details, and sanctions screening.
6.3 Invoice reasonableness. As part of trade-based money laundering (TBML) controls, we conduct invoice-reasonableness checks. Where declared pricing deviates materially from reference pricing for the commodity, we may request additional documentation or explanation. These checks satisfy our obligations under the ML(PP)A 2022 and are not optional.
6.4 Volume consistency. We monitor CNY payment volumes against your declared profile. Sudden or unexplained increases, payments to undeclared suppliers, or patterns inconsistent with your stated activity may trigger enhanced review, holds, or documentation requests.
6.5 Chinese regulatory requirements. CNY payments are subject to Chinese capital controls administered by the State Administration of Foreign Exchange (SAFE). Our Licensed Partners ensure payments comply with SAFE rules. You acknowledge that Chinese requirements may affect processing times, documentation, and limits, and that Zolan is not liable for delays or rejections arising from them.
7. Fees, Exchange Rates, and Charges
Fees. We charge fees as set out in our fee schedule on the Platform, which may be updated from time to time. Fees are disclosed before you confirm a transaction, and by confirming, you agree to pay them.
Exchange rates. Where a transaction involves currency conversion (including stablecoin-to-fiat), the rate is that determined by Zolan or its Licensed Partners at the time of processing. Rates fluctuate and may differ from rates quoted elsewhere. We disclose the applicable rate and any spread or margin before you confirm. Stablecoin conversion rates are not guaranteed and may differ from third-party exchanges.
Third-party charges and taxes. Your transactions may incur charges from correspondent or receiving banks, payment networks, or blockchain network (gas) fees; we will endeavour to disclose known charges but cannot guarantee disclosure of all third-party charges outside our control. You are solely responsible for determining and paying all applicable taxes arising from your use of the Services; our fees exclude VAT or other taxes unless stated.
8. Acceptable Use
The Services are for lawful business purposes consistent with your registered activities. You must not use them, directly or indirectly, for:
- Money laundering, terrorist or proliferation financing, or any breach of AML/CFT laws;
- Fraud, deception, misrepresentation, or identity theft;
- Transactions involving sanctioned persons, entities, countries, or territories;
- Illegal gambling, unlicensed financial services, or other unlawful activity;
- Processing payments for undisclosed third parties (pass-through transactions);
- Transactions involving arms, narcotics, or other prohibited goods;
- Breaching foreign exchange regulations or circumventing capital controls or reporting requirements;
- Using stablecoin wallets for speculative trading or exchange arbitrage rather than receiving legitimate business payments;
- Knowingly receiving stablecoin from wallets linked to darknet markets, mixers, ransomware, or sanctioned entities;
- Submitting fabricated or misleading trade documentation, or over-, under-, or multiple-invoicing or phantom-shipment schemes;
- Unauthorised access to or disruption of the Platform; or
- Any other activity that is illegal or harmful, or that Zolan reasonably deems contrary to the integrity of the Platform.
Zolan may investigate suspected violations, suspend or terminate accounts, report suspicious activity and take other appropriate action.
9. Transaction Processing and Settlement
Authorisation and finality. By submitting a transaction instruction you authorise Zolan and its Licensed Partners to process it. You are responsible for ensuring all details (recipient, amount, currency, and wallet address) are correct before submission. Once authorised, a transaction may not be cancellable or reversible; this applies with particular force to stablecoin transactions, which are irreversible once confirmed on-chain. We will use reasonable efforts to accommodate cancellation requests received before processing but cannot guarantee success.
Processing times and limits. Processing times vary with the corridor, Licensed Partner, correspondent banking, blockchain confirmation times, and regulatory requirements; CNY payments require additional time for documentation review. Indicative times are estimates only. Your account is subject to limits based on your KYB tier, history, and risk profile, which we may adjust for compliance or operational reasons.
Compliance holds. We may hold any transaction pending compliance review where required by our AML/CFT, sanctions, TBML, or blockchain-analytics processes. Such holds are not discretionary; we will endeavour to resolve them promptly but do not guarantee timeframes, and are not liable for loss arising from a good-faith compliance hold.
Failed, returned, and error transactions. Where a transaction cannot be completed (incorrect recipient details, account restrictions, regulatory holds, or otherwise), we will endeavour to notify you and, where applicable, return funds, net of charges already incurred. Where a transaction is processed in error due to a demonstrable technical fault on our Platform (not user error, blockchain issues, or third-party failure), you may request a refund at support@usezolan.com within seven (7) business days; we will investigate and respond within ten (10) business days. Zolan cannot guarantee recovery of funds once received and confirmed by the recipient’s institution or confirmed on-chain.
10. Data Protection and Privacy
Zolan processes personal and business data in accordance with the Nigeria Data Protection Act 2023 and the NDPC General Application and Implementation Directive 2025, and applicable data protection laws in the jurisdictions where we operate (including Kenya’s DPA 2019, South Africa’s POPIA, Ghana’s Data Protection Act 2012, and the ECOWAS Supplementary Act). Our Privacy Policy at usezolan.com/privacy sets out how we collect, use, share, and protect your information, including blockchain, trade, and biometric data, and should be read with these Terms.
You acknowledge that certain processing and sharing is required by law and does not require your separate consent, including: AML/CFT transaction monitoring, sanctions, and PEP screening; blockchain wallet screening; Travel Rule data exchange; Suspicious Transaction Report filings; TBML controls for CNY payments; and data sharing with Licensed Partners, correspondent banks, and regulators. These activities do not constitute a breach of these Terms or the Privacy Policy.
11. Intellectual Property
All intellectual property rights in the Platform, including the Zolan name, logo, software, content, and design, are owned by or licensed to Zolan. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for the purposes of these Terms. You must not copy, modify, distribute, sell, reverse-engineer, decompile, or create derivative works from any part of the Platform without our prior written consent.
12. Disclaimers and Limitation of Liability
No warranty. The Platform and Services are provided on an “as is” and “as available” basis without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Zolan does not warrant that the Platform will be uninterrupted, error-free, or completely secure.
Virtual asset disclaimer. Zolan does not guarantee the value, stability, or redeemability of any stablecoin or virtual asset, which are subject to issuer, regulatory, and market risk. Zolan is not liable for loss arising from fluctuations in value, depegging, issuer insolvency, or regulatory action affecting virtual assets.
Cap on liability. In no event is Zolan liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, data, or virtual assets, or reputational damage, whether in contract, tort, or otherwise, even if advised of the possibility.
Force majeure. Zolan is not liable for any failure or delay resulting from circumstances beyond its reasonable control, including acts of God, government or regulatory action, sanctions, correspondent banking restrictions, blockchain congestion or outages, network failures, cyberattacks, or civil unrest.
Licensed Partner services. Zolan is not liable for the acts, omissions, or failures of its Licensed Partners (including Licensed VASP Partners) in performing regulated services; where a claim arises in connection with a Licensed Partner’s services, you may have recourse against that partner directly under its terms.
13. Indemnification
You agree to indemnify and hold harmless Zolan, its directors, officers, employees, agents, and Licensed Partners from claims, liabilities, damages, losses, penalties, and reasonable costs arising out of: your breach of these Terms or any law; your use or misuse of the Services; any false or misleading information you provide; any fabricated or misleading trade documentation submitted for CNY payments; your violation of any third party's rights; or any regulatory action arising from your conduct.
14. Suspension and Termination
Suspension by Zolan. We may suspend or restrict your access, where appropriate without prior notice, where: we reasonably suspect fraud, money laundering, terrorist financing, or other unlawful activity; you have breached or are reasonably suspected of breaching these Terms; a regulator requires it; there is a risk to Platform security or integrity; you fail to satisfy KYB/KYC or enhanced due diligence; blockchain screening identifies high-risk exposure; your CNY activity is flagged for TBML concerns; or we are required to do so by law or a Licensed Partner.
Termination by you. You may terminate your account at any time by contacting support@usezolan.com, subject to completion of pending transactions, settlement of any stablecoin balances, and resolution of outstanding obligations, including fees.
Effect of termination. On termination, your right to use the Platform ceases. You may withdraw any remaining stablecoin balance on-chain to a wallet you control, or request conversion to fiat and settlement to your linked bank account. Settlement will be made as promptly as practicable and ordinarily within fifteen (15) business days, save where an outstanding compliance review applies, in which case we will notify you of the expected timeline. We will retain your data for the period required by law, including a minimum of five (5) years after the end of the business relationship under the ML(PP)A 2022, CBN AML/CFT/CPF Regulations 2023, and applicable VASP regulations.
15. Complaints
If you have a complaint, submit it in writing to support@usezolan.com or legal@usezolan.com with your account details, a description of the issue, and any supporting documentation. We will acknowledge within two (2) business days and provide a substantive response or resolution within fifteen (15) business days; where a complaint is complex we will notify you of the expected timeline.
16. Governing Law and Dispute Resolution
Governing law. These Terms are governed by the laws of the Federal Republic of Nigeria. Where you access the Services from another African jurisdiction, that jurisdiction’s mandatory consumer and business protection laws may also apply to the extent required.
Informal resolution. In the event of any dispute, you are encouraged to first contact support@usezolan.com; we will use reasonable efforts to resolve it within thirty (30) business days of written notice.
Arbitration. Failing informal resolution, the dispute shall be finally resolved by arbitration seated in Lagos, Nigeria under the Arbitration and Mediation Act 2023 and the Lagos Court of Arbitration Rules in force at commencement, conducted in English by a sole arbitrator agreed between the parties or, failing agreement, appointed under those Rules. The award is final and binding. Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a competent court to prevent irreparable harm, preserve assets, or protect confidential information.
17. Amendments
We may amend these Terms. For material changes we will give at least fourteen (14) days’ notice by email or a prominent Platform notice before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, you must stop using the Services and may terminate your account. Where an amendment introduces a new or materially different basis for processing your personal data, it will be handled under the Privacy Policy, which may require your fresh consent; continued use alone does not constitute such consent.
18. General Provisions and Contact
Entire agreement. These Terms, together with our Privacy Policy and the terms of applicable Licensed Partners (which we make available to you), constitute the entire agreement between you and Zolan and supersede prior agreements on the subject matter.
Other provisions. If any provision is held invalid, the remainder continues in effect. No delay in exercising a right is a waiver of it. You may not assign your rights without our consent; Zolan may assign to an affiliate, successor, or acquirer. These Terms are drafted in English, which prevails over any translation. You consent to receiving communications electronically, and agree these satisfy any legal requirement of writing.
Regulatory notices. Zolan is incorporated under CAMA 2020 and currently operates as a technology platform in partnership with licensed providers while pursuing the necessary licences, including CBN PSSP licensing and SEC Nigeria VASP registration; we will update these Terms and our disclosures as our status changes. Cross-border payments are subject to CBN foreign exchange regulations; virtual asset services to SEC Nigeria, Kenya VASP Act 2025, and FSCA frameworks; and CNY payments to SAFE capital controls and applicable AML/CFT requirements.
